Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Stokado (“Stokado,” “we,” “us,” or “our”), a cloud-based inventory management platform, including our website, application, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Stokado provides a cloud-based platform for inventory management, including but not limited to stock tracking, purchasing, barcode management, analytics, AI-powered forecasting, and related features. Features and functionality may vary by subscription tier and are subject to change as described in Section 13.

3. Account Registration

To use the Service, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

There is no restriction on the number of accounts or subscriptions a user or business may maintain. You may register and manage multiple accounts as needed for your business operations.

You must notify us promptly of any unauthorized use of your account or any other breach of security.

4. Subscriptions & Payment

  • Billing: Subscriptions are billed on a recurring basis (monthly or annually, as selected at signup) through our payment processor, Stripe.
  • Auto-renewal: Subscriptions automatically renew at the end of each billing cycle unless canceled prior to the renewal date.
  • Refunds: All payments are non-refundable. In line with standard SaaS billing practices, if you cancel your subscription, you will retain access to the Service through the end of your current billing cycle, but no partial or prorated refunds will be issued for unused time.
  • Failed payments: If a payment fails, we may suspend or restrict access to your account until payment is successfully processed.
  • Price changes: We reserve the right to change subscription pricing. Existing subscribers will be notified in advance of any pricing changes affecting their plan.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to reverse engineer, decompile, or otherwise access the source code of the Service
  • Resell, sublicense, or provide the Service to third parties without our written consent
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems
  • Use the Service to store or transmit malicious code, or to harass, abuse, or harm others

We reserve the right to suspend or terminate accounts that violate this section.

6. User Content & Data Ownership

You retain all ownership rights to the data you upload or generate through the Service, including your inventory records, business data, and related content (“User Content”).

By using the Service, you grant Stokado a limited license to access, store, process, and use your User Content solely for the purpose of providing, maintaining, and improving the Service. We do not sell your User Content to third parties.

You are responsible for the accuracy and legality of the data you upload.

7. Intellectual Property

The Service, including its software, design, branding, and underlying technology, is owned by Stokado and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service, its code, or its trademarks. All rights not expressly granted are reserved.

8. Termination

You may cancel your subscription and stop using the Service at any time. We may suspend or terminate your access to the Service, with or without notice, if you violate these Terms, fail to pay applicable fees, or engage in conduct that we determine, in our sole discretion, to be harmful to the Service or other users.

Upon termination, your right to access the Service will cease. Provisions of these Terms that by their nature should survive termination (including Sections 6, 7, 9, 10, and 11) will continue to apply.

9. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or completely secure.

AI-powered features (including forecasting, recommendations, and anomaly detection) are provided as decision-support tools and should not be treated as guaranteed or fully accurate. You are responsible for independently verifying any output before relying on it for business decisions.

10. Limitation of Liability

To the maximum extent permitted by law, Stokado and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to Stokado in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Stokado, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved in the courts located in Ontario, Canada, unless otherwise required by applicable law.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by other reasonable means before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
